The following sets forth the terms and conditions of the SayWo.com User Agreement between you and www.saywo.com (Abbreviated as “SayWo.com” below) subordinate to Fanta Network Science & Technology Co., Ltd.

•  Important Note: SayWo.com reminds that before accessing or using the site, Users should read all terms in this Terms of Service, including those exemption terms to exempt or limit SayWo.com's Liability and restriction terms to limit Users' rights. You may accept or not accept the Terms of Service after carefully reading and checking (Minors should be accompanied by their legal guardians when do the checking). If you do not agree to accept the terms and occasional amendment, please do not use or cancel the Service on SayWo.com Site. Use of the Service shall be deemed to be fully acceptance of the Terms of Service, including the amended terms updated occasionally by SayWo.com at any time.

•  SayWo.com may update these terms at any time without prior notice. SayWo.com will post the amended contents once SayWo.com Terms of Service (“Terms of Service”) are modified, the amended terms shall be effective immediately upon posting on the Site. You can log in SayWo.com to view Terms of Service in latest version at any time.

2.Rules of Use

2.1 Users have to outfit necessary equipments to use Internet and telecom value-added services, pay related fees to surf online, telecom fees and messages fees charged by third parties.

2.2 You agree that the Services on the Site are only used by individuals and not used in commerce except that you have achieved another agreement with SayWo.com. Each User agrees that it shall not reproduce, copy, sell or do research, promotion on or through the Site, or use the Services for the purpose of any commercial activities. Further, you cannot send any information about advertisements, promotions, junk mails, chain letters and direct-selling by messages, mails and any other means, except, however, that otherwise guides or rules of certain services are stated by SayWo.com.

2.3 It is prohibited to post information that violate any applicable ordinance, or, that is unlawful, untrue, harassing, abusive, threatening, harmful, destructive, offensive, vulgar, obscene, or sex-related.

2.4 Each User hereby represents, warrants and agrees to provide true, accurate and complete information about itself, and update your information in time when necessary. Each User shall be solely responsible for maintaining the confidentiality of its User ID and Password and for all activities that occur under the User ID and Password. Since user verification on the Internet is difficult, SayWo.com cannot and does not confirm any unauthorized use of User ID and Password, SayWo.com shall not be liable for any loss or damages arising from the User's failure to keep security of User ID and Password. Each User hereby agrees and unders promises of the terms set forth below:

2.4.1 Each User undertakes to notify SayWo.com immediately to any unauthorized use of User ID or Password or any other breach of security.

2.4.2 Log out related accounts safely after surfing online or using other services.

2.5 Each User agrees to accept that SayWo.com post promotion or other related commercial information through emails, instant messages, web pages or any other lawful ways.

2.6 About Public Information posted on the SayWo.com Site.

2.6.1 Each User hereby grants a worldwide, royalty-free, sub licensable license, irrevocable and perpetual to SayWo.com to display and use all information posted by Members on public display or through terms of service on the Site, containing but not limited to photos, images, or videos.

2.6.2 If you violate applicable law, regulation, or terms of service, you shall be solely liable for legal consequence, and be held legally liable for any loss or damages of SayWo.com.

2.7 Paid Services

2.7.1 Certain of its Services on SayWo.com are offered by charge. Once you or others (including your deputy) subscribe any Paid Services through personal account, you will have to pay in accordance with relevant terms of charge and ways of payment. Instructions about fees will be posted on appropriate web pages that certain services are offered on SayWo.com. If you would like to cancel Paid Services, you may contact our Customer Service Center . We reserve the right to continue to charge before your canceling relevant services formally and being approved by SayWo.com.

2.7.2 Overdue Pay: Paying Users should follow relevant rules of SayWo.com or its partners if service fee is overdue.

2.8 The service rights gained under this Term of Service cannot be transferred.

2.9 Users agree to abide by relevant national laws, regulations and administrative rules, which contain but not limited to the contents provided through hyperlinks:

“Criminal Law of People's Republic of China ”

“Trademark Law of People's Republic of China ”

“Decision in relation to the protection of internet safety issued by People's Congress”

“Administrative Rules of Computer Information Network Safety Protection”

“Regulations for Computer Software Protection”

2.10 If any User violates national laws or regulations, breaches the internal rules, SayWo.com and its partners have the right to suspend or terminate the Service with respect to such User without any compensation and responsibility. Further, each user shall indemnify SayWo.com or its partners against any loss, damages or embroilment, lawsuit, counterclaim suffered by SayWo.com or its partners as a result of User's being in breach of Terms of Service, and at this time, User shall also be fully liable for the results.

3. Service Risks and Exemption of Liability

3.1 Each User shall acknowledges that the services on the SayWo.com Site is provided on an “as is” and “as available” basis, which refers to the Internet services, therefore, SayWo.com may be affected by every instable factors. There may be risks of disruption or failure of the services delivered through the Site resulting from causes beyond its reasonable control, computer viruses or hackers, systems failure to be stable, User's location, User's power off, GMS network, Internet, telecommunications routes. Each user accesses to the Site shall bear risks stated above. Under no circumstances shall SayWo.com and its partners be under a promise of providing prompt, safe and accurate services, and held liable for User's failure to send and receive information, errors in transmission, time efficacy of personal setting, failure to store or any other problems in connection with any Service Risks.

3.2 SayWo.com promises that we shall promptly do the amendment cooperating with relevant units as soon as system trouble of the Site results in inability use to the Service, however, in no event shall SayWo.com be responsible for any economic loss arising from inability to use to the Service. In addition, SayWo.com reserves the right to maintain, update, or suspend any part of the Service at any time without prior notice.

3.3 SayWo.com hereby reminds you that all information, data, words, software, music, photographs, images, videos, messages, User's registration materials or any other materials (“content”), whether publicly posted or privately transmitted via the way of uploading, posting, sending messages or emails and so on through or on the Site, are the sole responsibility of such User from whom the content originated. SayWo.com can neither control the content transmitted via the Site nor control any use of the Site completely, therefore does not guarantee the lawfulness, accuracy, integrity, authenticity or quality of such content. Each User acknowledges and agrees that you may be exposed to contents that are unpleasant, indecent or objectionable by using the Service on the Site; we encourage you to evaluate by self but not to be reliance on SayWo.com and bear any risks. However, SayWo.com has the right to terminate transmission any of these contents on the provision of relevant laws and take related actions, including but not limited to suspend all or parts of the Service, store relevant records, inform relevant organizations. But SayWo.com has the right (but not obligation) in its sole discretion to refuse or delete any content that is in breach of this Agreement or found inappropriate in SayWo's or User's opinion.

Containing but not limited to:

① libelous or defamatory to SayWo.com, other User or third parties

② post information, text and graphics etc. that is in breach of public order or morality.

③ contain information that is related to criminals

④ invade copyright or any other rights of SayWo.com or third parties

⑤ be overdue upload periods of text, photographs, pictures, files and kinds of hyperlinks according to relevant rules of SayWo.com

⑥ contain information that is not accordance with features of Service provided by SayWo.com

⑦ involves circumstances to issue advertisements or promotions that are unnecessary and unauthorized

⑧ steal Users' ID (existent ID ), such as names, or counterfeit or compile information that Users register on the Site

⑨ circumstances that breach the purpose of message boards through upload the same content repeatedly

•  circumstances that infringe relating ordinance or SayWo.com instructions

3.4 General measures about use and save: you acknowledge that SayWo.com has the right to stipulate and restrict general measures about the Service, including but not limited to keeping User's personal information, email contents, the longest duration of posted information or other uploading contents, the maximum of receiving and sending mails or messages via one certain account, the widest available space allocated by SayWo.com Server, upper limit for times to use the Service on certain period (and upper hours limit of every using time). You consent to that SayWo.com shall not be liable for the circumstances below: storage or transmission of any information, telecommunication materials and other contents is deleted or failure to save, SayWo.com may close the spaces and withdraw the accounts when spaces or accounts haven't been in use for a long time. Further, you agree that SayWo.com modifies these general measures and restrictions at any time on its sole discretion with or without prior notice.

3.5 Transactions between Ad-agency and User

Through the Site, SayWo.com provides a platform for exchanging information and other business communications between ad-agency and User, including payment for relevant products and services, any relevant terms, conditions, warranties or statements reached in agreement, all of which are conducts between User and ad-agency. SyWo.com is not responsible for any loss or damage suffered by User resulting from any transactions or ad-agency as set forth above unless SayWo.com is required to do so by law or obvious regulations.

3.6 Links and Search engines: SayWo.com or the third party may offer hyperlinks to websites or resources on in other international Internet. Since SayWo.com cannot control these websites and resources through hyperlinks. You acknowledge and agree that SayWo.com is not responsible whether these websites or resources are available or not. Further, SayWo.com does not warrant and is liable for any contents, advertisements, products or other materials exist on or result from these web sites or resources. SayWo.com is not responsible directly or indirectly for any damage or loss associated with the use of or reliance on any contents, merchandise, or service posted on or gained through these websites or resources. In addition, SayWo.com is not liable even if the contents through links or provisions through search engines infringe your rights in your opinions. SayWo.com suggests that you contact the Site or department of law to look for protection from law.

4. Modify, suspend or terminate and amend the terms of service

4.1 All rights such as the ownership, exercise and explanation ascribe to SayWo.com. And SayWo.com is subject to and strictly enforces any regulations, terms and rules as post.

4.2 SayWo.com reserves the right to amend terms of service if necessary, and the amended terms will be posted on related web pages once being updated. User should cancel the Service actively if does not consent to the amend contents. Your continued use of the Service shall be deemed to be acceptance of the amended terms.

4.3 SayWo.com and its partners have the right to modify or change paid services, means of charge, service charge and terms of service provide by the Site. SayWo.com may charge for part of the Service at present or in future when provides services. You will not continue to use relevant services after being charged if you refuse to pay such fees. Anyway, SayWo.com shall try best to inform each User of related amendment and restatement.

4.4 Users are hereby made aware that SayWo.com has the right to amend, suspend or terminate part or all contents of the services without prior notice, in order to assure the development of business and independence of modification. The amendment will be posted on the Site in form of Notice. Once posted, it will be considered as Notice. Saywo.com will not be liable to any User or any third party for any loss caused by exercising the right of amending and suspending services

4.5 If any of the following cases occur, SayWo.com has the right to suspend or terminate the Service at any time without prior notice:

4.5.1 personal information provided by User is not true

4.5.2 User breaches items of service

4.5.3 in accordance with the demand of the department of management

4.5.4 special cases that may meet demands of the Service entirely in SayWo.com's opinion

4.5.5 such project as maintenance of service equipments results

4.5.6 circumstance that User hinders the management of SayWo.com

4.5.7 circumstance that normal services cannot be provided because of electrical power failures, equipments problems or dramatic increase of the users

4.5.8 circumstance that the Service cannot be provided due to termination of contract with service supplier etc. caused by various items of company

4.5.9 any consequence resulting from acts of nature, Acts of God, and forces beyond its reasonable control such as domestic special times

5. About SayWo.com Trademark

5.1 SayWo.com trademark consists of its sign , product and service marks (abbreviated as “SayWo.com Sign”). Without the written permission of SayWo.com, you should not display, use or process SayWo.com Sign in any way, and should not prove to anybody that you have the right of displaying, using and processing SayWo.com Sign as well.

6. Ownership of the information

6.1 The information defined by SayWo.com includes words, sound, pictures, videos, graphics, Saywo.com web pages; overall contents of the advertisement; and business information provided by us. All these are protected under the laws of copyright, trademark right, and other intellectual property rights and ownership. Therefore, the Users can use these contents only when being authorized by SayWo.com and relevant authorities. It is prohibited to use, plagiarize, copy, modify and compile these contents, or create derivation relating to the contents.

7. Law

This Agreement is in accordance with national applicable laws and regulations. If some service items conflict with applicable laws, regulations and clauses, the contradiction part will be based on national laws, regulations and clauses.

8. Assurance

8.1 User agrees to guarantee, maintain the interests of SayWo.com and its affiliates, and take responsibility for paying all bills beyond the Service (including but not limited to: charges for lawyers, compensation for breaching terms of service, recourse fees of the third party's using of User's computer, accounts and other intellectual property rights).

8.2 User should be liable for violating national laws, regulations and this Terms of Serivice.

9. Others

9.1 SayWo.com's failure to enforce any of items under Terms of Service will not waive obligations of other items, and SayWo.com will try its best to enforce these items effectively.

9.2 This “Terms of Service” constitutes all the Agreement between you and SayWo.com, regulating your use of the Service and replace your former Agreement with SayWo.com. You should follow additional applicable items and rights when you are using the service or using the content and the software provided by the third party.

9.3 Every item of the Service, charge standard, service pay and service items should be based on the final notice.
